Welcome to our company incorporation request form. Please use this form if you want to establish an Australian registered company under the Corporations Act 2001. 

PRICING
The cost to set up a standard Company is $1,295, which includes GST and stamp duty. If this Company set-up is attached with a new Trust establishment with us, the packaged price is $1,760 inclusive of GST.

  • This cost is for standard Company Incorporations. We reserve the right to review your submitted information and send you a quotation if the standard price does not apply. If this is the case, your card will not be charged until you accept the new quotation.
  • This cost applies to orders for electronic copies of documents only, hardcopies would be extra.
  • This cost applies to orders completed via the online forms.

Once we receive your submission, we will process your credit card, which will include:

  • Company ASIC Incorporation and incorporation certificate
  • Company Constitution
  • Required minutes for directorship appointments
  • Shareholders certificates
  • ASIC fees included
  • Issue of an Australian Company Number
  • Application for Company Tax File Number (If applicable)

  • Application for GST and PAYG withholding on wages if required

The intention of this questionnaire is to gather most of the data required for us to complete the incorporation process. The questionnaire takes approximately 10 to 15 minutes to complete and you can save it and return at any time.

Proprietary companies

Proprietary companies must have at least one shareholder but no more than 50 non-employee shareholders. These are the company owners. It must have at least one director. While it’s not necessary, you may also choose to have a company secretary. While there must be a registered office, the proprietary company doesn’t have to open it to the public.

Public companies

A public company must also have at least one shareholder, but there’s no upper limit to how many shareholders it can have. It’s common for a company to shift from being proprietary to public because it has more than 50 shareholders. Most companies choose to become a small unlisted public company in that situation. A public company must have at least three directors, two of which must be ordinarily resident in Australia. It also needs at least one company secretary and a registered office that is available to the public during certain hours.

Parties

A company must have at least one Australian director. In addition to this, a company can choose to have a company secretary (but a secretary is not compulsory). Note that having a company secretary can make it easier to endorse contracts with some organisations. The public officer is the person formally responsible under tax law for ensuring the company complies with all relevant tax legislation (and every company must have one). Please answer the following questions regarding the initial company directors, secretary and public officer.

Director Identification Number

New company directors are required by law to apply for a director identification number (director ID) before being appointed. Penalties of up to $13,000 apply for processing without a Director's ID or failing to apply for one when directed by the Registrar to do so.

What is a Director Identification Number?

The Director Identification Number (Director ID) is a 15 digit unique identifier that stays with a director for life in helping to prevent the use of false or fraudulent director identities with the new registry services of the ABRS. This will make it easier to trace director relationships across companies and help identify and eliminate involvement in illegal activity such as illegal phoenix activity.

SINGLE TOUCH PAYROLL (STP)
The ATO requires employers to lodge payroll through a single touch payroll (STP) compatible software. 
Single Touch Payroll (STP) is a new way of reporting tax and superannuation information to the ATO. Using an STP-enabled software, you'll send your employees' salary and wage, tax withheld and super information to the ATO each time you pay your employees. This means: you'll report to the ATO each time you pay your employees.
